Terms of Service

1. Acceptance

By accessing or using ProcureX (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation. If you do not agree, do not use the Service.

2. Description of Service

ProcureX is a web-based procurement tool that helps users search for vendors, manage RFQs, draft inquiry emails, and related workflow. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice. We do not guarantee availability or uninterrupted access.

3. Account and Eligibility

You must provide accurate registration information and keep your account secure. You are responsible for all activity under your account. The Service is intended for business use; you must be at least 18 years old (or the age of majority in your jurisdiction) to use it.

4. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any applicable laws;
• Attempt to gain unauthorised access to the Service, other accounts, or our systems;
• Interfere with or disrupt the Service or servers/networks connected to it;
• Upload or transmit malware, or content that is harmful, offensive, or infringes third-party rights;
• Resell, sublicense, or commercially exploit the Service except as we expressly permit;
• Use automated means (e.g. scraping, bots) to access the Service without our prior consent.

We may suspend or terminate your access immediately if we reasonably believe you have violated these terms or pose a risk to the Service or others.

5. Your Content and Data

You retain ownership of content and data you submit to the Service (“User Data”). You grant us a non-exclusive, royalty-free, worldwide licence to use, store, process, and transmit User Data solely to provide, operate, and improve the Service and to comply with law. You are responsible for ensuring you have all rights necessary to provide User Data and that it does not violate any third-party rights or laws. We may retain backup copies for a reasonable period after deletion for disaster recovery and legal compliance.

6. Payment and Refunds

If you purchase a paid plan, you agree to pay the fees applicable at the time of purchase. Fees are non-refundable except where required by law or as we explicitly agree in writing. We may change pricing on reasonable notice; continued use after the change constitutes acceptance. You are responsible for any taxes applicable to your use of the Service.

7. Intellectual Property

We (and our licensors) own all right, title, and interest in the Service, including the ProcureX name, branding, software, and documentation. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service in accordance with these Terms.

8. Disclaimers

The Service is provided “as is” and “as available.” To the maximum extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure. You use the Service at your own risk. We are not responsible for the accuracy, completeness, or legality of data you input or third-party content (e.g. search results or vendor information).

9. Limitation of Liability

To the maximum extent permitted by applicable law, we (and our affiliates, directors, employees, and agents) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or business opportunity, arising out of or in connection with the Service or these Terms, whether in contract, tort, or otherwise. Our total aggregate liability for any claims arising out of or related to the Service or these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim. Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, our liability will be limited to the fullest extent permitted by law.

10. Indemnity

You agree to indemnify, defend, and hold harmless us and our affiliates, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to (a) your use of the Service, (b) your User Data or your violation of any third-party rights, (c) your breach of these Terms, or (d) your violation of any applicable law.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service, with or without cause or notice, including for breach of these Terms. Upon termination, your right to use the Service ceases. We may delete or retain your User Data in accordance with our Privacy Policy and legal obligations. Sections that by their nature should survive (including Disclaimers, Limitation of Liability, Indemnity, and Governing Law) will survive termination.

12. Changes to Terms

We may update these Terms from time to time. We will post the updated Terms on this page and update the “Last updated” date. Material changes may be notified by email or a notice in the Service. Your continued use of the Service after the effective date of the changes constitutes acceptance. If you do not agree, you must stop using the Service.

13. General

These Terms constitute the entire agreement between you and us regarding the Service and supersede any prior agreements. Our failure to enforce any right or provision does not waive that right or provision. If any provision is held invalid or unenforceable, the remaining provisions remain in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. No third party has any rights under these Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Singapore. Any dispute arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Singapore, except where mandatory consumer law in your country requires otherwise.
